# Website Terms and Conditions of Use

The rules governing access to and use of the aisuru.com website

The Website Terms and Conditions of Use govern the relationship between Memori s.r.l. and anyone who accesses the public AIsuru website, consults its content, registers or interacts with the published Agents. They are distinct from the Terms of Service, which instead govern the contractual relationship with those who subscribe to a SaaS, PaaS or higher plan.

**Who can access**

Access to the Site is free for anyone. Interaction with published Agents, registration and use of the platform's features are reserved for adults with full legal capacity under applicable law.

**The model behind AIsuru**

The Site distinguishes two roles:

* whoever **creates** an Agent (registered user, "Giver") defines its knowledge base, instructions and features, and is fully responsible for it;
* whoever **converses** with a published Agent (registered user or not) may do so free of charge, within the limits made available by the creator.

The responses generated by the Agents are produced by artificial intelligence systems and may be incomplete, out of date or unsuitable for the user's specific purpose. Before relying on a response for professional, financial or other significant decisions, it is always advisable to independently verify its accuracy.

**Transparency on conversations**

Conversations with a published Agent are **not anonymous**: they are visible to whoever created that Agent, together with the user's IP address. This allows the creator to monitor and improve the operation of their Agent. For this reason, it is recommended not to share in chat special-category personal data or information that you do not wish to make known to the Agent's creator.

**Deep Thought**

An optional feature, which can be activated by both the Agent's creator and the user conversing, that allows the Agent to remember information useful for personalizing subsequent interactions (so-called "Known Facts"). Activation always requires the user's explicit consent, and the user may at any time view, edit, selectively delete their Known Facts or deactivate the feature.

The Agent's creator never has direct access to Known Facts or to a user's full conversation history: they can only query their own Agent to obtain aggregated information matching a search criterion (for example, which users have expressed a certain interest), without the full content being exposed.

**Memori's role**

Memori provides the technological infrastructure of the platform. Except for Agents created directly by Memori, **Memori does not create, configure, train or pre-screen** the Agents published by registered users, who remain fully responsible for them.

**Memori does not in any case use user data to train, modify or develop its own artificial intelligence models.**

Memori reserves the right to carry out subsequent checks and to suspend or remove Agents, content or accounts, also on the basis of reports received, when necessary to comply with the law, protect third-party rights or keep the platform working properly.

**Intellectual property**

* The rights to AIsuru, the Site, the algorithms and any other element of the platform remain the exclusive property of Memori.
* The user retains ownership of the content they enter (**Input**), granting Memori and the Agent's creator a limited license to use it exclusively for the operation and improvement of the Agent.
* The responses generated by the Agents (**Output**) are not claimed by Memori; however, the user remains responsible for verifying, before using or disseminating them, that their use does not infringe third-party rights.

**Reports and complaints**

Anyone who believes that an Agent or content on the Site violates the law, third-party rights or these Terms may submit a report to Memori. Memori's decisions that restrict an account or content may be appealed through the internal complaint-handling system or an out-of-court dispute resolution (ODR) body.

**Applicable law**

These Terms are governed by Italian law, with the courts of Bologna having jurisdiction, without prejudice to the mandatory rules protecting consumers.
